Terms of Service

These Terms of Service ("Terms") govern your use of ArbAssist, including the Guardian platform at guardian.arbassist.com, the ArbKeep client portal at arbkeep.com, arborist public websites hosted at *.arbassist.com, and all related services (collectively, the "Service"). The Service is operated by ArbAssist ("we," "us," "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old to create an account. You are responsible for maintaining the security of your login credentials. You are responsible for all activity under your account.

One account per person. ArbAssist is designed for individual arborists and owner-operators. Sharing credentials with employees or third parties is not permitted.

ArbAssist offers a 14-day free trial. After the trial period, continued access requires an active paid subscription. Subscriptions are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial months.

We reserve the right to change subscription pricing with 30 days' notice to active subscribers.

You own your data. Assessments, photos, work orders, client records, and all content you create remain your property. We do not claim ownership of your content.

You grant ArbAssist a limited license to store, process, and display your data solely for the purpose of providing the Service. This includes displaying your content on client-facing portals (ArbKeep) and arborist public websites (*.arbassist.com) as configured by you.

Data export. You may request an export of your data at any time by contacting [email protected]. We will provide your data in a standard format within 30 days of request.

Data retention after cancellation. If you cancel your subscription, we will retain your data for 90 days. After 90 days, your data may be permanently deleted. We will send a reminder before deletion. You may request an export during this period.

ArbAssist provides hosted public websites for subscribers at subdomains of arbassist.com (e.g., yourcompany.arbassist.com). By using this feature, you agree to the following:

1. No uptime guarantee. We make commercially reasonable efforts to keep arborist websites available, but we do not guarantee uninterrupted access. Websites may be temporarily unavailable due to maintenance, infrastructure changes, or circumstances beyond our control.
2. No data permanence guarantee. Website content is generated from your profile settings in Guardian. If your subscription lapses or your account is deleted, your public website will be deactivated.
3. Content responsibility. You are solely responsible for the accuracy of information displayed on your public website, including credentials, service descriptions, and contact information.
4. Custom domains. If you configure a custom domain via CNAME, you are responsible for DNS configuration and domain registration. ArbAssist is not responsible for domain-related issues.
5. Lead forms. Contact form submissions on your public website are stored in ArbAssist and routed to your Guardian account. You are responsible for responding to leads and for compliance with applicable communication laws (e.g., CAN-SPAM, TCPA).

ArbAssist includes AI-powered features ("Field Intelligence") that provide research assistance, species information, and assessment support. These features are provided for informational purposes only.

AI output is not professional advice. Field Intelligence output does not replace the professional judgment of a certified arborist. You are solely responsible for all assessments, recommendations, and work orders you create, regardless of whether AI tools assisted in their preparation.

No warranty on AI accuracy. We do not guarantee the accuracy, completeness, or timeliness of AI-generated content. Species identification, risk assessments, and treatment recommendations should be independently verified.

ArbAssist generates Tree Risk Attestation documents from assessment data you provide. These documents are formatted outputs of your professional work — not independent evaluations by ArbAssist.

You are the attestor, not ArbAssist. Attestation documents bear your name, credentials, and professional judgment. ArbAssist is a formatting and generation tool only. We make no representations about the accuracy or completeness of attestation content.

No liability for attestation use. ArbAssist is not responsible for how attestation documents are used by you, your clients, insurance carriers, attorneys, or any third party. You are solely responsible for the professional opinions expressed in attestation documents generated through the Service.

Credential accuracy. You are responsible for ensuring that credentials displayed on attestation documents are current and valid. Misrepresentation of credentials is a violation of these Terms and may result in account termination.

ArbKeep provides a client-facing portal where your clients can view assessments, work orders, photos, and other content you share. You control what content is visible to clients through publish and share settings in Guardian.

Client data. Client contact information, property data, and assessment records you enter are stored by ArbAssist on your behalf. You are responsible for obtaining appropriate consent from your clients for data collection and storage.

You agree not to:

1. Use the Service for any unlawful purpose
2. Misrepresent professional credentials or certifications
3. Upload malicious content or attempt to compromise the Service
4. Share account credentials with third parties
5. Use the Service to harass, defame, or harm others
6. Scrape, reverse engineer, or extract data from the Service beyond your own account data
7. Use AI features to generate misleading or fraudulent professional documents

Violation of these terms may result in immediate account suspension or termination.

No uptime guarantee. The Service is provided on an "as available" basis. We do not guarantee any specific level of uptime, availability, or performance. Scheduled and unscheduled maintenance may occur without notice.

Service modifications. We may modify, update, or discontinue features of the Service at any time. Material changes that reduce core functionality will be communicated to active subscribers with reasonable notice.

Data loss. While we implement reasonable measures to protect your data (including regular backups), we do not guarantee against data loss. You are encouraged to maintain your own records and request periodic data exports.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBASSIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

1. Loss of revenue or business opportunities arising from Service unavailability
2. Loss of data, including assessment records, photos, or client information
3. Claims arising from attestation documents, assessments, or recommendations generated using the Service
4. Claims by your clients, insurance carriers, or third parties based on content you created using the Service
5. Website downtime or unavailability of arborist public websites
6. Inaccuracies in AI-generated content

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to ArbAssist in the 12 months preceding the claim.

You agree to indemnify and hold harmless ArbAssist, its officers, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from:

1. Your use of the Service
2. Content you create, publish, or share through the Service
3. Attestation documents generated from your assessment data
4. Your violation of these Terms
5. Your violation of any applicable law or regulation

These Terms are governed by the laws of the State of Ohio. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Franklin County, Ohio, under the rules of the American Arbitration Association. You waive any right to a jury trial.

We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days' notice. Upon termination, your public website will be deactivated immediately. Your data will be available for export for 90 days following termination.

We may update these Terms at any time. Material changes will be communicated via email to the address on your account. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with changes, your remedy is to cancel your subscription and request a data export.
